CertiBlok® EULA – End User License Agreement
CertiBlok® EULA
This License Agreement regulates the relationship between Certiblok S.r.l. (Piazza della Libertà 14, 38121 Trento (TN), Italia, VAT IT02633560228) and the User of the CertiBlok® software (software name, hereinafter also referred to as "Software") as Licensee, together with the general terms and conditions of sale of CertiBlok® and any further specific agreements made between the parties.
This agreement shall be deemed accepted by the User also through electronic signature or other conclusive actions, including the installation or use thereof. Users who do not intend to accept all provisions of this agreement must not install or use the software or its services.
Certiblok S.r.l. reserves the right to make changes to this License Agreement by publishing them or communicating them to the User. The new terms of the License Agreement will become effective seven days after their publication or communication, unless the User has communicated the intention to withdraw from the Agreement.
Art. 1 – Software License
1.1 Certiblok S.r.l. grants the User a non-exclusive, non-transferable, and limited license to install and use the Software and its related Documentation for the User's business purposes for the period and number of users specified in the individual purchase agreement.
1.2 The license to use is also limited to the software functionalities defined in the specific agreement between the parties and based on what is specified in the price list. In particular, the User is aware that the free version of the software has limited functionalities and can be revoked by Certiblok S.r.l. at any time and without prior notice or compensation, and Certiblok S.r.l. does not guarantee its continuous operation.
1.3 This license does not grant any right to economic exploitation of the CertiBlok® software by third parties other than Certiblok S.r.l..
Art. 2 – User's Obligations
2.1 In consequence of what is specified in the preceding article, the User is not entitled to transfer, lend, rent, publish or use the Software to, or for the benefit of, any third party without prior written consent of Certiblok S.r.l..
2.2 Decoding, Modification, Use. The User shall refrain from:
- modify, adapt, translate, transmit, publish, transcode, decompile, or disassemble the application in whole or in part, or otherwise subject the application to other processes of analysis of its code and logical structure (so-called “reverse engineering”);
- modify, adapt, or combine the Software;
- use the Software to develop or improve any product that competes with the Software;
- copy in whole or in part graphics, logos, phrases from the Software or its related documentation;
- use the Software for purposes other than those related to the services pertaining to the type of license granted and as expressly permitted by these Conditions;
- incorporate and/or connect the application, in whole or in part, into/with other programs;
- remove or in any way delete from the Software or its related documentation, any trademark, trade name, copyright notice, or other reservation of rights placed or contained therein;
- use the Software to develop or spread computer viruses, malware, or commit any other unlawful act;
- copy, modify, transmit, or resell information obtained through the Software, except for specific uses allowed and described in the Documentation;
- engage in conduct that may violate intellectual property rights or regulations concerning privacy and personal data protection;
- translate the software into foreign languages;
- carry out acts otherwise contrary to good faith and fairness.
Art. 3 – Warranty and Liability
3.1 No warranty of good operation is provided for free licenses of the Software.
3.2 The Software warranty is limited to the functionalities expressly guaranteed in the Documentation accompanying the Software and related to the uses specified therein.
3.3 The User is responsible for the security of their computer systems and data and shall be solely responsible for preventing malware, viruses, spyware, and Trojans.
3.4 The User declares to be aware that the Software uses the "blockchain" system and that, therefore, its functions are subject to the requirements and limits of the aforementioned technology. Beyond this context, Certiblok S.r.l. is not responsible for any malfunction, failure to achieve promised goals or functionalities of the Software, which must in any case be considered limited to this technological scope.
3.5 Limitation of Liability. Certiblok S.r.l.'s liability is limited to the total price paid by the User for the Software.
Certiblok S.r.l. shall only be liable for direct damages caused by its potential non-performance and shall not be liable for any indirect damages such as, for example, loss of production, interruption of operations, loss of data, or profits.
Any liability for gratuitous licenses is excluded.
Certiblok S.r.l.'s liability is in any case excluded if the User does not use the latest version of the software, complete with every update, and has not followed any other recommendation of the manufacturing company regarding system requirements, hardware, or operating system updates.
Art. 4 – Usage Costs and System Requirements
4.1 The use of the Software may be subject to connection costs for browsing traffic borne by the User.
4.2 It is the User's responsibility to use and maintain a system equipped with the necessary hardware and software requirements for the correct use of the Software.
Art. 5 – Third-Party Software
If the User uses third-party software or components in conjunction with the Software's functionalities, the User shall be solely responsible for their purchase or acquisition of a usage license, as well as any other maintenance or update costs.
Art. 6 – Personal Data Protection and Confidential Information
6.1 In addition to everything governed in the privacy documentation pertaining to the relationship between the User and Certiblok S.r.l., the User is aware that, if processing personal data through the Software, they must equip their organization with all legally required procedures and that, except as contained in the appointment as data processor, Certiblok S.r.l. does not further guarantee compliance with the regulations.
6.2 If the Software is used for the management of information defined as confidential or secret by any contract or legal norm, the User is solely responsible for its correct storage and sharing with third parties.
Art. 7 – Termination
This EULA is effective until terminated. If the User fails to comply with any of the terms and conditions of this EULA, their rights relating to this license will be automatically terminated without notice from Certiblok S.r.l..
Art. 8 – Applicable Law and Jurisdiction
The exclusive jurisdiction for any dispute arising from this contract is the court of Trento. This contract is governed by legge italiana.
